1. Acceptance of Terms
By registering for, accessing, or using ByaparOS ("Service"), you agree to be bound by these Terms of Service. If you are entering into this agreement on behalf of a registered company, partnership, or school in Nepal, you represent that you have the authority to bind that entity.
2. Free Trial & Subscription Terms
3-Month Unrestricted Free Trial
New organizations receive full unrestricted access for 90 days with zero credit card required. No automatic charges or unexpected lockouts will occur at the conclusion of your trial period.
Following the expiration of the 3-month trial period, continued access is subject to an active subscription plan billed transparently in Nepali Rupees (NPR). Subscription pricing covers hosting, software updates, automated encrypted backups, and compliance enhancements.
3. Organization Responsibilities & Credentials
As an organization administrator, you agree to:
- Maintain accurate business information, including valid PAN/VAT registration numbers where applicable.
- Safeguard staff passwords and authenticate user identities before granting elevated roles.
- Ensure that all products, inventory, and transactions recorded comply with applicable laws of Nepal.
4. Intellectual Property & Data Ownership
Your Data: You retain complete, unencumbered ownership of all commercial data, customer records, invoices, garment patterns, and financial accounts uploaded or generated in ByaparOS. You may export your master registers at any time.
Our Platform: The ByaparOS software, trademarks, UI designs, algorithms, and documentation are the exclusive intellectual property of ByaparOS. You may not reverse-engineer, decompile, or copy the service.
5. Service Availability & Maintenance
We strive to maintain a 99.9% uptime for all cloud ERP endpoints. Routine scheduled maintenance is conducted outside of standard Nepal business hours (typically after 10:00 PM NPT) with advance notice whenever possible.
6. Limitation of Liability
To the maximum extent permitted under Nepali law, ByaparOS shall not be liable for any indirect, incidental, or consequential damages resulting from internet interruptions, hardware failures at the client counter, or tax calculation discrepancies resulting from inaccurate user inputs.
7. Governing Law & Dispute Resolution
These Terms are governed by and construed in accordance with the laws of Nepal. Any disputes arising from these Terms or the use of ByaparOS shall be subject to the exclusive jurisdiction of the competent courts of Kathmandu, Nepal.
